Project finance

Jurists Chambers’ project finance experience, drawn principally from the knowledge and experience of the Managing Counsel includes:

• Syndicated leasing transaction for acquisition of LNG Vessel: Scrutinising information memorandum during risk analysis. Examining key terms of principal agreements such as shipbuilding contract, joint venture agreement, sponsor’s agreement, shareholder loan agreement, refund guarantee, and vessel management agreement.
• Power projects: Analysing implementation contracts for construction and operation of power plants, energy sales agreements, Electric Energy Fund agreements, Water Management agreements, and gas supply agreements. Advised on reform of the power sector in certain member countries that necessitated restructuring of the security issues of the project.
• Aircraft financing: Reviewing lease structure, mortgage document, put and call option agreement, charge over accounts, security assignment agreement, share charge document, and trust deed.

We have acted for the government, sponsors and funding providers and investors at every stage of a project’s development and its financing.

As in-house Legal Counsel, our Head of Chambers had a leading role in the financial re-structuring of a project that had been Euromoney Deal of the Year for 1990.
